Terms of Service
Straitly(“we”, “us”, or “our”) provides an application programming interface gateway and related services. These Terms of Service (the “Terms”) govern your access to and use of the website located at https://app.straitly.ai, the Straitly application programming interface, the Straitly console, and all related services (collectively, the “Service”).
By creating an account, accessing the Service, or submitting a request to the Straitly API, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, you may not access or use the Service.
1. Description of the Service
The Service is an API gateway. We provide a single OpenAI-compatible endpoint that routes your requests to large language models operated by third-party providers, currently Anthropic, PBC and OpenAI (each a “Model Provider”). We do not develop, train, or operate the underlying models. We provide routing, authentication, metering, billing, and logging in connection with them.
Your use of the Service is additionally subject to each applicable Model Provider’s usage policies. Where a Model Provider blocks, refuses, or rate limits a request, that outcome is conveyed to you through the Service, and we have no ability to override it.
2. Eligibility and Account Registration
You must be at least eighteen (18) years of age and legally capable of entering into a binding contract to use the Service. You may not access or use the Service if you are located in, or ordinarily resident in, any country or region subject to comprehensive United States sanctions, or if you are named on any United States government restricted party list.
You are responsible for maintaining the accuracy of your account information and for all activity occurring under your account.
3. API Keys
API keys issued through the Service authenticate as your account and draw down your credit balance. You are solely responsible for maintaining the confidentiality of your API keys. You must not embed keys in client-side code, publish them in public repositories, or otherwise expose them to third parties. All requests made with a valid key are billed to your account, whether or not you authorized them.
If a key is compromised, you must revoke it immediately in the console. Revocation is immediate and permanent. We are unable to reverse charges incurred by a compromised key prior to its revocation.
4. Credits, Fees, and Payment
The Service operates on a prepaid basis. You purchase credits, and each request debits your balance at the published rate for the model used, applied to the actual token counts of that request. Failed requests are not billed. There is no subscription and no minimum commitment.
Current rates are published on our pricing page and within the console. We may modify rates upon notice; modifications apply only to requests made after the modification takes effect and are never applied retroactively.
Credits are non-refundable except where a refund is required by applicable law. Credits do not expire while your account remains open. Upon deletion of your account, any remaining credit balance is forfeited; the console presents this consequence to you before deletion is completed.
Automatic top-ups. If you enable automatic top-ups, you authorize us and our payment processor to charge your saved payment method for the amount you have configured, without further action on your part, each time your balance falls below the threshold you have set. This constitutes a recurring charge authorization. You may disable automatic top-ups at any time in the console, and doing so immediately stops all future automatic charges.
You are responsible for all applicable taxes arising from your purchases, other than taxes on our net income. Payments are processed by Stripe, Inc. and are additionally subject to Stripe’s terms of service.
5. Acceptable Use
You agree that you will not use the Service to:
- violate any applicable law or regulation, or infringe the rights of any person;
- create, solicit, or disseminate child sexual abuse material, or any content that sexualizes minors;
- develop malware or conduct, facilitate, or assist any attack on any system;
- generate content intended to harass, defraud, or impersonate any person, or to interfere with any election;
- circumvent rate limits, quotas, or billing mechanisms, including through the creation of multiple accounts;
- resell or sublicense access to the Service without our prior written agreement;
- reverse engineer the Service, or use the Service to develop a competing model or to train a model where the applicable Model Provider prohibits it; or
- violate the usage policies of the Model Provider serving your request.
We do not review the content of your prompts to enforce this Section. Enforcement is ordinarily initiated by Model Provider reports, abuse reports, or billing anomalies.
6. Availability; Modifications to the Service
Self-serve accounts are provided without any service level commitment. The Service depends on upstream Model Providers, and their outages become our outages. We may modify, suspend, or discontinue any portion of the Service at any time. If we discontinue the Service in its entirety, we will provide reasonable advance notice and refund unused credits.
7. Suspension and Termination
We may suspend or terminate your account if you breach these Terms, if we are required to do so by law or by an upstream Model Provider, or if your account presents a fraud or chargeback risk. Where circumstances permit, we will inform you of the reason and provide an opportunity to cure. In the event of a termination not for cause, we will refund unused credits.
You may discontinue use of the Service and delete your account at any time through the console.
8. Your Content; Model Output
As between you and Straitly, you retain all rights in the content you submit to the Service and in the output returned to you. We claim no ownership of either, and we do not use your prompts or completions to train models. No rights in the underlying models are granted to you under these Terms; those models remain the property of their respective Model Providers.
Model output is generated statistically and may be inaccurate, including in ways that appear authoritative. Output does not constitute legal, medical, financial, or other professional advice, and you are responsible for evaluating its suitability before relying on it.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
11. Indemnification
You will defend, indemnify, and hold harmless Straitly and its officers, directors, employees, and agents from and against any third-party claims, damages, and reasonable legal fees arising from your use of the Service, your content, or your breach of these Terms.
12. Changes to These Terms
We may revise these Terms from time to time. If a revision is material, we will provide notice by email or through the console before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. The “Last Updated” date above reflects the current version.
13. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The parties agree to attempt in good faith to resolve any dispute informally by contacting support@straitly.ai before initiating formal proceedings. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts.
14. General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties with respect to their subject matter. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. A party’s failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. Nothing in these Terms creates any partnership, agency, or employment relationship between the parties.
